End User License Agreement

This End User License Agreement (“Agreement”) is a binding agreement between you and Information Technology Systems Ontario (“ITSO”). This Agreement governs your use of the Ardi application provided by VoiceFlip (the “Application”).

Your use of the Application is subject to this Agreement. If you are not willing to be bound by each and every term and condition, or if any representation made by you herein is not true, you may not use, and must immediately cease accessing, the Application which includes any materials, content or services made available through it. By accessing/using the Application, you acknowledge that you have read and understood this Agreement and accept this Agreement and agree that you are legally bound by its terms.

Updates to the Agreement

ITSO reserves the right to amend this Agreement at any time without notice to you. We will ensure that the latest, fully-amended version of this Agreement is published in a manner accessible to those using the Application. You are responsible for regularly reviewing any amendment made to this Agreement to obtain timely notice of such amendments. If any amendment is unacceptable to you, you may terminate this Agreement by immediately ceasing to use or access the Application, as set out above. If you continue to use the Application after the effective date of each amendment, you will be conclusively deemed to have accepted such amended version of this Agreement.

Grant of Licences

Subject to the terms of this Agreement, ITSO grants you the permission to access and use the Application for your transitory, non-commercial use on an electronic device owned or otherwise controlled by you.

This license shall be non-exclusive and non-assignable. You have no right to sub-license any of your rights or obligations under this Agreement.

All rights not specifically granted to you under this Agreement are reserved to ITSO. You are prohibited from using any materials obtained from the Application to:

  1. violate any applicable law, statute, order or regulation;
  2. use the Application in a way that infringes, misappropriates or violates anyone’s rights;
  3. modify, copy, reproduce or create derivative works of such materials (except as explicitly provided in connection with those materials through the Application);
  4. use the materials for any commercial purpose, or distribute, lease, sell, transmit, publicly display, publish or perform the materials for any purpose;
  5. attempt to decompile or reverse engineer any software or database contained in accessed through the Application;
  6. remove any copyright or other proprietary notations;
  7. automatically or programmatically extract Output or other data;
  8. represent that Output was human-generated when it was not; or
  9. use Output to develop models that compete with the Application or other products or services offered by ITSO.

Content

You may provide input to the Application (“Input”), and receive output from the Application based in whole or in part on the Input (“Output”). Input and Output are collectively referred to as the “Content”. You are responsible for the Content to the extent you have, or should have, control of the Content, including, without limitation, ensuring that it does not violate any applicable law or the terms of this Agreement. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to the Application and for us to process the Input pursuant to this Agreement.

To the extent permitted by applicable law you retain your ownership rights in your Input. The Output is owned and retained by ITSO.

Due to the nature of the Application and artificial intelligence generally, Output may not be unique and other users may receive similar Output from the Application.

ITSO may use Input to provide, maintain, develop, and improve our products and services (including the Application), comply with applicable law, and enforce our terms and policies.

Artificial intelligence and machine learning are rapidly evolving fields of study. Although ITSO undertakes reasonable efforts to maintain the accuracy of the Output at the time of access through the Application, given the probabilistic nature of machine learning and the changing nature of the source documents (including, without limitation, legislation and guidance documents published by regulators), the Output may contain information that is inaccurate, incomplete, outdated, and/or otherwise unreliable. As such, when you use the Application, you understand and agree:

  1. Output may not always be accurate, current, complete and/or reliable. You must not rely on Output from the Application as a sole source of truth or factual information, or as a substitute for professional advice;
  2. You must evaluate Output for accuracy and appropriateness for your use case, including independently confirming its accuracy, before using or sharing Output from the Application;
  3. You must not use any Output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them; and
  4. The Application may provide incomplete, incorrect, or offensive Output that does not represent ITSO’s views. If Output references any third party products or services, it does not mean that the third party endorses or is affiliated with the ITSO.

Ownership

The Application will remain at all times the sole and exclusive property of ITSO. You acknowledge and agree that the Application is provided under license, and not sold, to you. You do not acquire any ownership interest in the Application under this Agreement, or any other rights thereto other than to use the Application in accordance with the license granted, and subject to all terms, conditions and restrictions, under this Agreement. ITSO reserves and shall retain the entire right, title and interest in and to the Application, including all copyrights, trademarks and other intellectual property rights therein or relating thereto, except as expressly granted to you in this Agreement. This Agreement does not grant you the right to access to any source code of the Application, which constitutes ITSO’s confidential information.

Updates to Application

ITSO may from time to time in its sole discretion and without notice to you develop and provide Application updates, which may include upgrades, bug fixes, patches and other error corrections and/or new features. Updates may also modify or delete in their entirety certain features and functionality. You agree that ITSO has no obligation to provide any Updates or to continue to provide or enable any particular feature or functionality.

Limitation of Liability

In no event will ITSO, its Member Associations, its affiliates, licensors, or suppliers be held liable for any direct, indirect, special, consequential, punitive, incidental, exemplary or other damages or losses resulting from the use of the Application, including, without limiting the preceding, the loss of profits, goodwill, use, or data or other losses. This exclusion of the liability of ITSO will prevail even if ITSO has been advised of the possibility of such damages or losses. ITSO’s aggregate liability under this Agreement will not exceed the greater of the amount you paid for the service (if any) that gave rise to the claim during the six (6) months before the liability arose or one hundred dollars ($100).

Disclaimers

THE APPLICATION IS PROVIDED TO YOU “AS IS.” OTHER THAN WHAT IS EXPRESSLY SET OUT IN THIS AGREEMENT AND TO THE FULLEST EXTENT POSSIBLE UNDER APPLICABLE LAW, ITSO AND ITS MEMBER ASSOCIATIONS, AFFILIATES, LICENSORS, AND SUPPLIERS EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, REPRESENTATIONS OR CONDITIONS OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, RELATING TO THE APPLICATION AND THE USE, PERFORMANCE OR RESULTS THAT MAY BE OBTAINED THROUGH THE USE OF THE APPLICATION (INCLUDING THE OUTPUT), INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, PRIVACY, COMPATIBILITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. WITHOUT LIMITING THE FOREGOING, ITSO DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ACCURATE OR ERROR FREE. ITSO DOES NOT WARRANT THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED. YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM THE APPLICATION IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON THE OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

Indemnification

By using the Application, you agree to indemnify ITSO, and disclaim our responsibility for, any actions, proceedings, claims, liabilities, damages and reasonable expenses (including legal expenses) relating to or arising from: (a) access or use, by you or permitted by you, of the Application including the Output and your Input, or (b) of any of your acts or omissions, including breach of non-performance of the terms in this Agreement and any violation of law or any third party rights.

Termination

You are free to stop using the Application at any time. ITSO reserves the right to immediately suspend or terminate your access to the Application if ITSO determines that: (1) you breached the terms under this Agreement; (2) ITSO must do so to comply with the law; or (3) your use of the Application could cause risk or harm to ITSO, users of the ITSO MLS® System or anyone else.

General Provisions

You may not assign or transfer any rights or obligations under this Agreement and any attempt to do so will be void. ITSO may assign its rights or obligations under this Agreement to any affiliate, subsidiary, or successor in interest of any business associated with the Application.

If any provision of this Agreement is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term and all other provisions of this Agreement will continue in full force and effect.

The terms under this Agreement contain the entire agreement between you and ITSO regarding the Application and, other than any Application-specific terms, supersedes any prior or contemporaneous agreements between you and ITSO.

This Agreement is governed and will be construed in accordance with the laws applicable and in force in the Province of Ontario, Canada.
